You must be at least 18 years old to register on or use the Stray Dogg Entertainment, Inc. Website. Access or use of this site or its contents by any person under the age of 18 is strictly prohibited.

This Agreement sets out the legally binding terms of your use of the Website (except for those terms that are specifically designated as applying only to registered members). The terms of this Agreement may be modified by Stray Dogg Entertainment, Inc. from time to time, effective when posted by Stray Dogg Entertainment, Inc. on the Website.

1. Member Eligibility and Terms. You must be 18 or over to register as a member of Stray Dogg Entertainment, Inc. and use the Service. This Agreement sets out the legally binding terms of your membership in the Service or your employment with Stray Dogg Entertainment, Inc.. It may be modified by Stray Dogg Entertainment, Inc. from time to time, effective when posted by Stray Dogg Entertainment, Inc. on the Website.

2. Term and Termination.  This Agreement will remain in full force and effect while you use the Website and/or are a Member. You may terminate your membership at any time, for any reason. Stray Dogg Entertainment, Inc. may terminate your membership for any reason, effective on sending notice to you at the email address you provide in your application for membership or another email notice address that Stray Dogg Entertainment, Inc. received from you. If Stray Dogg Entertainment, Inc. terminates your membership in the Service because you have breached the Agreement, you will not be entitled to any refund of unused subscription fees. To cancel a subscription to this Website you need to send us a written cancellation request via email or mail.

3. Member ID and Password.  As part of the member registration process, you will be asked to select a Member ID (username) and password. We may refuse to accept any Member ID for any reason, including that the proposed Member ID impersonates someone else, is or may be illegal, is or may be protected by trademark or other proprietary rights law, is vulgar or otherwise offensive, or may cause confusion, as we determine in our sole discretion. You are responsible for the confidentiality and use of your Member ID and password and agree not to transfer or resell your use of or access to the Site to any third party. If you have reason to believe that your account is no longer secure, you must promptly change your password by updating your account information after logging on to Stray Dogg Entertainment, Inc, and immediately contact us. YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING THE CONFIDENTIALITY OF YOUR MEMBER ID (USERNAME) AND PASSWORD AND FOR ANY AND ALL ACTIVITIES THAT ARE CONDUCTED THROUGH YOUR ACCOUNT.

4. Unauthorized Use.  The Website and the Service are for the personal use of individuals only, for purposes consistent with the Website and Service. You may not use the Website or Service in connection with any commercial or group activities. Organizations, companies or businesses may not become Members and may not use the Service or the Website for any purpose.

5. Proprietary Rights in Content on Stray Dogg Entertainment, Inc.. Stray Dogg Entertainment, Inc. owns and retains all proprietary rights in the Website and the Service. The Website contains copyrighted materials, trademarks, and other proprietary information of Stray Dogg Entertainment, Inc. and its licensors. You may not copy, modify, publish, transmit, distribute, perform, display or sell any Website material or information.

6. Content Posted on the Site.

   a. You are solely responsible for any materials (including profiles or photos) and messages that you publish or display on this Website, or transmit to other members.

   b. By posting Content to any public area of Stray Dogg Entertainment, Inc. you automatically grant, and you represent and warrant that you have the right to grant, to [website] an irrevocable, perpetual, non-exclusive, fully paid, worldwide licence to use, copy, perform, display, distribute such information.

   c. You understand and agree that Stray Dogg Entertainment, Inc. may review and remove any content that in the sole judgement of Stray Dogg Entertainment, Inc. violates this Agreement or which, in the sole judgement of Stray Dogg Entertainment, Inc. might be offensive or illegal or might violate the rights of, harm, or threaten the safety of our Members.

   d. We reserve the right to investigate and take appropriate action against anyone who releases offensive Content including removing the offending Communications from the Website and terminating the membership of such violators. You may not include in your Member profile any telephone number, street addresses, last names, URLs or email addresses. We reserve the right to restrict the number of emails a Member may send to other members in any 24 hour period in order to protect other members from advertising.    

   e. WARNING:  It is possible that other Members or users (including unauthorized users, or "hackers") may post or transmit offensive or obscene materials on the Website and that you may be involuntarily exposed to such offensive and obscene materials. It also is possible for others to obtain personal information about you due to your use of the Service, and that the recipient may use such information to harass or injure you. [website] is not responsible for the use of any personal information that you may choose to disclose on the Service. Please carefully select the type of information that you post on the Service or release to others.

7. Copyright Policy.  You may not post, distribute, or reproduce in any way any copyrighted material, trademarks, or other proprietary information without obtaining the prior written consent of the owner of such proprietary rights. Without limiting the foregoing, if you believe that your work has been copied and posted on the Service in a way that constitutes copyright infringement, please provide our Copyright Agent with the following information: an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; a description of the copyrighted work that you claim has been infringed; a description of where the material that you claim is infringing is located on the Website; your address, telephone number, and email address; a written statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

8. Member Disputes.  You are solely responsible for your interactions with other Stray Dogg Entertainment, Inc. Members. Stray Dogg Entertainment, Inc. reserves the right, but has no obligation, to monitor disputes between you and other Members, arising from or related to the Website.  Any models that are working for Sub Studios of Stray Dogg Entertainment, Inc. are responsible for setting up and receiving payments from that Studio and not from Stray Dogg Entertainment, Inc.

9. Privacy.  Use of the Website and the Service is subject to our Privacy Policy, which is part of this Agreement with you.

10. DISCLAIMERS.  Stray Dogg Entertainment, Inc. is not responsible for any incorrect or inaccurate Content posted on the Website, whether caused by users of the Website, Members or by any of the equipment or programming associated with or utilized in the Website or the Service.

Stray Dogg Entertainment, Inc. is not responsible for the conduct, whether online or offline, of any user of the Website or Member of the Service.

Stray Dogg Entertainment, Inc. assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, user or Member communications.

Stray Dogg Entertainment, Inc. is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of email or players on account of technical problems or traffic congestion on the Internet or at the Website, including injury or damage to users and/or Members or to any other person's computer related to or resulting from participating or downloading materials in connection with the Website or in connection with the Service.

THE Website AND THE SERVICE ARE PROVIDED "AS-IS" AND Stray Dogg Entertainment, Inc. EXPRESSLY DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, OR THAT THE Website OR THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

Stray Dogg Entertainment, Inc. cannot guarantee and does not promise any specific results from use of the Website and/or the Service.

11. No Compete.  Models, Studios, Affiliates, and any other employees of Stray Dogg Entertainment, Inc. agree not to compete with Stray Dogg Entertainment, Inc. in any form of business that Stray Dogg Entertainment, Inc. is involved in.  Employees also agree to not become involved with Networks introduced to employees or accounts created for employees by Stray Dogg Entertainment, Inc. without going through Stray Dogg Entertainment, Inc. directly for any of those services or work without compensating Stray Dogg Entertainment, Inc. with what would normally be profited.

12. Limitation on Liability.  You assume full responsibility and risk for your use of the Website and the Service. Under no circumstances will Stray Dogg Entertainment, Inc. be responsible for any loss or damage or money, including personal injury or death, resulting from anyone's use of the Website or the Service, any Content posted on the Website or transmitted to Members, or any interactions between users of the Website, whether online or offline. Stray Dogg Entertainment, Inc. and its affiliates are not liable to you or any third person for any indirect, consequential, exemplary, incidental, special or punitive damages arising from your use of the Web site or the Service, even if Stray Dogg Entertainment, Inc. has been advised of the possibility of such damages. If you live in a state whose laws prevent you from taking full responsibility for your use of the service, our liability is limited to the greatest extent allowed by law. Stray Dogg Entertainment, Inc.'s liability to you for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to Stray Dogg Entertainment, Inc. for the Service during the term of membership.  Any legal issues will be resolved in the country of Costa Rica(this includes members from the United States and all other countries).

13. Indemnity.  You agree to indemnify and hold Stray Dogg Entertainment, Inc., its subsidiaries, affiliates, officers, agents, and other partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorney's fees, made by any third party due to or arising out of your use of the Website or the Service in violation of this Agreement or arising from a breach of this Agreement or any breach of your representations and warranties set forth in this Agreement.

14. Other.  This Agreement, accepted on your use of the Website and further affirmed by becoming a Member of the Service, contains the entire agreement between you and Stray Dogg Entertainment, Inc. regarding the use of the Website and the Service. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect.

CONFIDENTIALITY AGREEMENT

 

This Confidentiality Agreement ("Agreement") is made and effective by and between Stray Dogg Entertainment, Inc. ("Owner") and Recipient ("Member").

1. Confidential Information.Owner proposes to disclose certain of its confidential and proprietary information (the "Confidential Information") to Recipient. Confidential Information shall include all data, materials, products, technology, computer programs, specifications, manuals, business plans, software, marketing plans, financial information, and other information disclosed or submitted, orally, in writing, or by any other media, to Recipient by Owner.  Nothing herein shall require Owner to disclose any of its information.

2. Recipient's Obligations. A. Recipient agrees that the Confidential Information is to be considered confidential and proprietary to Owner and Recipient shall hold the same in confidence, shall not use the Confidential Information other than for the purposes of its business with Owner, and shall disclose it only to its officers, directors, or employees with a specific need to know. Recipient will not disclose, publish or otherwise reveal any of the Confidential Information received from Owner to any other party whatsoever except with the specific prior written authorization of Owner.

B. Confidential Information furnished in tangible form shall not be duplicated by Recipient except for purposes of this Agreement. Upon the request of Owner, Recipient shall return all Confidential Information received in written or tangible form, including copies, or reproductions or other media containing such Confidential Information, within ten (10) days of such request. At Recipient's option, any documents or other media developed by the Recipient containing Confidential Information may be destroyed by Recipient. Recipient shall provide a written certificate to Owner regarding destruction within ten (10) days thereafter.

C. Any Breach in this contract by the Recipient will result in the forfeiting of all earnings owed to Recipient by Owner and may result in further legal action.

3. Term. The obligations of Recipient herein shall be effective 5 years from the date Owner last discloses any Confidential Information to Recipient pursuant to this Agreement. The Term of the No Compete shall be effective during time of employment and 6 months after employment is terminated by owner of by Recipient.  Further, the obligation not to disclose shall not be affected by bankruptcy, receivership, assignment, attachment or seizure procedures, whether initiated by or against Recipient, nor by the rejection of any agreement between Owner and Recipient, by a trustee of Recipient in bankruptcy, or by the Recipient as a debtor-in-possession or the equivalent of any of the foregoing under local law.

4. Other Information. Recipient shall have no obligation under this Agreement with respect to Confidential Information which is or becomes publicly available without breach of this Agreement by Recipient; is rightfully received by Recipient without obligations of confidentiality; or is developed by Recipient without breach of this Agreement; provided, however, such Confidential Information shall not be disclosed until thirty (30) days after written notice of intent to disclose is given to Owner along with the asserted grounds for disclosure.

5. No License. Nothing contained herein shall be construed as granting or conferring any rights by license or otherwise in any Confidential Information. It is understood and agreed that neither party solicits any change in the organization, business practice, service or products of the other party, and that the disclosure of Confidential Information shall not be construed as evidencing any intent by a party to purchase any products or services of the other party nor as an encouragement to expend funds in development or research efforts. Confidential Information may pertain to prospective or unannounced products. Recipient agrees not to use any Confidential Information as a basis upon which to develop or have a third party develop a competing or similar product.

6. Governing Law and Equitable Relief. This Agreement shall be governed and construed in accordance with the laws of the United States, Costa Rica, and the State of California and Recipient consents to the exclusive jurisdiction of the state courts and U.S. federal courts located there for any dispute arising out of this Agreement. Recipient agrees that in the event of any breach or threatened breach by Recipient, Owner may obtain, in addition to any other legal remedies which may be available, such equitable relief as may be necessary to protect Owner against any such breach or threatened breach.

7. No Compete. Recipient agrees not to compete with Owner in any form of business that Owner is involved in before or during the term of this Agreement and for 6 months after the termination of Recipient's employment with Stray Dogg Entertainment, Inc.  Recipient agrees not to compete with Owner within the same Organizations that Owner is involved in or other competing Organizations during the Term of this contract and for 6 months after the termination of Recipient's employment with Stray Dogg Entertainment, Inc.  Any Breach in this contract by the Recipient will result in the forfeiting of all earnings owed to Recipient by Owner and may result in further legal action.

8. Final Agreement. This Agreement terminates and supersedes all prior understandings or agreements on the subject matter hereof. This Agreement may be modified only by a further writing that is duly executed by both parties.

9. No Assignment. Recipient may not assign this Agreement or any interest herein without Owner's express prior written consent.

10. Severability. If any term of this Agreement is held by a court of competent jurisdiction to be invalid or unenforceable, then this Agreement, including all of the remaining terms, will remain in full force and effect as if such invalid or unenforceable term had never been included.

11. No Implied Waiver. Either party's failure to insist in any one or more instances upon strict performance by the other party of any of the terms of this Agreement shall not be construed as a waiver of any continuing or subsequent failure to perform or delay in performance of any term hereof.

12. Headings. Headings used in this Agreement are provided for convenience only and shall not be used to construe meaning or intent.
